The "Satiscus" platform (the "Service") is published and operated by Mell Invest LLC, a Limited Liability Company incorporated in the State of Delaware, USA, with its registered office at 131 Continental Dr, Suite 305, Newark, DE 19713, USA. Service Description
Satiscus is a B2B SaaS platform (software-as-a-service for professionals) allowing physical establishments to collect customer reviews via QR codes. The service includes, depending on the chosen plan: a review filtering system, a Kanban resolution dashboard, SMS validation (OTP), a giveaway module, AI-generated reports, and a downloadable QR code generator.
Acceptance of Terms
Registration to the Service implies full and unreserved acceptance of these Terms. The Client acknowledges having read them before creating an account. Any use of the Service constitutes acceptance of the Terms in force.
Registration and Client Account
The Client warrants (i) being an adult professional acting in the course of business, (ii) that information provided at registration is accurate, complete and up-to-date, (iii) holding the necessary authorizations to bind the entity they represent. The Client is solely responsible for the confidentiality of their credentials. Fraudulent use must be reported immediately to contact@satiscus.com.
Pricing, Billing and Hybrid Model
Satiscus operates a hybrid billing model based on the Client's geographic location: 1. Recurring Subscription (Via Stripe - Global): Plans are billed monthly or annually in advance. Subscriptions are subject to tacit and automatic renewal, unless terminated by the Client before the end of the current cycle. 2. Prepaid License (Via Slick Pay - Algeria): For Clients using Slick Pay, the Service operates as the purchase of a 'Prepaid License' (time-credit of 30 or 365 days). There is no automatic debit. Upon license expiration (D-0), access to the dashboard is automatically suspended/blurred until manual renewal by the Client. Payments and Refunds: All payments (Stripe or Slick Pay) are firm and final. No pro-rata refund is granted in case of non-use of the Service or early termination.
Tips and Tip Jar Module (Liability Disclaimer)
The Service allows the Client to offer its End Users the payment of digital tips via Apple Pay, Google Pay (Stripe Connect) or Slick Pay. Satiscus acts exclusively as a technological facilitator. Consequently: • Satiscus does not intervene at any time in the collection of funds, which flow directly to the Client's Stripe or Slick Pay account (less applicable commissions). • The Client is solely and exclusively responsible for the lawful and tax-compliant redistribution of these sums to its employees, in accordance with the labor law applicable in its jurisdiction. • Any financial dispute (incorrect amount, refund request, bank chargeback) initiated by an End User falls under the exclusive responsibility of the Client. Satiscus shall not be required to refund or compensate a contested tip.
Right of Withdrawal
In accordance with applicable consumer law, the 14-day right of withdrawal does not apply to B2B contracts between professionals. As a commercial gesture, Satiscus offers a free trial period and allows termination at any time effective at the end of the current cycle. Amounts already invoiced for the current cycle are non-refundable.
Refund Policy
Subscriptions: non-refundable on a pro-rata basis once the billing cycle has started. SMS Credits: non-refundable once purchased. Exceptions: in case of major and prolonged Service unavailability attributable to Satiscus (>72 consecutive hours), a pro-rata credit may be granted upon request to contact@satiscus.com. Payment disputes (chargebacks): we handle any dispute within 7 business days. To avoid abusive chargebacks, contact us first — we are here to resolve any issue.
Client Obligations, Anti-Spam and Personal Data
The Client agrees to use Satiscus ethically. Strictly prohibited are the manipulation of ratings or the collection of fraudulent reviews. Phone number collection: When using the 'Giveaway' or 'Complaint' module, the Service may collect End Users' phone numbers. The Client acknowledges that it acts as Data Controller and Satiscus as a mere Data Processor. The Client formally undertakes to use these numbers only within the strict scope provided by the platform (random draw or follow-up after a complaint). Any export of these numbers for the purpose of unsolicited commercial prospecting (SMS Spam) is strictly prohibited and will result in the immediate suspension of the Client's account. In the event of a complaint by an End User regarding receipt of Spam, the Client shall assume full legal and financial responsibility for this infringement.
Giveaway Module — Liability
The Client is SOLELY legally responsible for the organization, administrative declaration (where applicable), funding and awarding of prizes within the 'Giveaway' module. Satiscus only provides a technical random selection tool and disclaims any responsibility regarding compliance with local regulations on games and contests. The Client must display clear rules compliant with the law of the country where the operation takes place.
Anti-Fraud and Compliance (AML/KYC)
Mell Invest LLC implements anti-fraud, anti-money laundering (AML) and counter-terrorism financing measures. KYC (Know Your Customer) verifications on payments are delegated to Stripe, in accordance with Visa, Mastercard standards and FinCEN (USA), PSD2 (EU) regulations and equivalents. Any account showing suspicious activity may be suspended without notice and reported to competent authorities.
Intellectual Property
The Satiscus Service, its source code, design, brand, logo, databases and all content are the exclusive property of Mell Invest LLC. "Satiscus" is a registered trademark of Mell Invest LLC. The Client benefits from a non-exclusive, non-transferable, non-assignable and revocable license for the duration of their subscription. Any reproduction, copying, modification or reverse engineering is strictly prohibited.
Service Availability (SLA)
Satiscus undertakes a best-effort obligation to ensure 99.5% monthly availability (excluding scheduled maintenance notified 48h in advance). No guarantee of result is provided. Interruptions due to force majeure, third-party providers (Stripe, Supabase, OVH, Twilio, Google) or the Client's Internet connection do not engage Satiscus's liability.
Limitation of Liability
Satiscus does not guarantee any mathematical increase in the Client's Google rating or online reputation. Given the B2B nature of the Service, and to the maximum extent permitted by applicable law, the total cumulative financial liability of Mell Invest LLC towards a Client shall not exceed the total amount paid by said Client during the twelve (12) months preceding the triggering event. Indirect damages (loss of revenue, loss of customers, image damage) are excluded.
Termination
The Client may terminate their subscription at any time from the 'Settings' area of their dashboard. Termination takes effect at the end of the current billing cycle, without refund of amounts already paid. Mell Invest LLC may terminate or suspend an account with 30 days notice, or immediately and without notice in case of serious breach of these Terms, payment default or fraudulent activity. Client data is retained for 90 days after termination then permanently deleted (subject to legal retention obligations).
Amendment of Terms
Mell Invest LLC reserves the right to modify these Terms at any time. Any substantial modification will be notified by email at least 30 days before entry into force. Continued use of the Service after this period constitutes acceptance of the new terms.
Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Delaware, USA (USA), without prejudice to mandatory protective provisions applicable to the Client as a professional established in their country. Any dispute shall first be subject to amicable settlement. Failing this, exclusive jurisdiction is attributed to the competent courts of Delaware, USA, subject to mandatory contrary provisions.
